Cost of non-compliance

What happens if I miss MGT-7 / AOC-4?

₹100 per day penalty per form, with no upper cap. Continued non-filing for 3 years can lead to ROC strike-off and director disqualification.

Is annual compliance needed if there's no business activity?

Yes — even dormant or zero-revenue companies must file AOC-4, MGT-7 and DIR-3 KYC. Otherwise penalties keep accruing.

What is DIR-3 KYC?

Annual KYC for every director with a DIN. Due 30 September each year. Missing it deactivates the DIN with a ₹5,000 reactivation fee.

When is the AGM held?

Within 6 months of the financial year end (so usually by 30 September), and within 15 months of the previous AGM.

What's the difference between MGT-7 and MGT-7A?

MGT-7A is the simplified annual return for Small Companies and OPCs. MGT-7 is for everyone else.

Can you handle compliances for an LLP?

Yes — Form 8 (by 30 October), Form 11 (by 30 May), DIR-3 KYC, plus income tax return and audit if turnover exceeds ₹40 lakh.
